1. Definitions

“StrategyXF,” “we,” or “us” means StrategyXF, LLC, a Wyoming limited liability company.

“Community” means the StrategyXF private collaboration environment powered by Circle (strategyxf.circle.so), including all content, programs, recordings, and tools available through it.
-
“Member” or “you” means any individual granted access to the Community under these Terms.
-
“Recurring Programs” means Think Tank Thursday (weekly) and Monthly Community Update meetings (monthly, on the fourth Thursday), each of which is recorded and published to the Community platform.
-
“StrategyXF Services” means all services offered by StrategyXF, including the Community, Recurring Programs, paid events, advisory services, training and certification programs, publications, and sponsorship arrangements.

“10 Key Principles” means the StrategyXF 10 Key Principles to Master Strategy Execution — the set of universal standards of excellence that define what great strategy execution looks like across the key pillars of organizational performance. The 10 Key Principles are StrategyXF IP. The fact that the Principles are developed and refined with community input does not affect StrategyXF’s exclusive ownership of them; community participation is the process by which the Principles are validated, not a basis for any member claim of co-ownership.

“Playbook” or “StrateX Playbook” means the community-driven, practitioner-validated resource produced by StrategyXF that, for each of the 10 Key Principles, curates a set of community-tested Plays drawn from real-world practitioner experience. The Playbook integrates and optimizes the 5 Critical Capabilities (Strategic Portfolio Management, Business & Enterprise Architecture, Financial Planning & Analysis, Project Execution, and Change Management) as the operational engine through which organizations achieve the 10 Key Principles. The Playbook as a whole — including its structure, editorial curation, organization, community-defined checklists, and the selection and arrangement of Plays — is StrategyXF IP. Individual Plays included in the Playbook are licensed to StrategyXF by contributing members under Section 6.10.

“Play” means a specific best practice, technique, approach, or real-world method contributed by a member for inclusion in the Playbook, demonstrating how one or more of the 10 Key Principles can be applied in practice.

“User Content” means any content, posts, comments, files, or materials you submit to the Community.

“Service Provider” means CircleCo, Inc., which provides the platform technology underlying the Community.
2. Membership Tiers and Access
2.1 Membership Structure
StrategyXF offers the following membership tiers and status designations. There are currently no differences in platform access rights between tiers; all tiers receive full Community access. This may change with reasonable notice as the community grows.

Membership is personal and non-transferable. Access may not be shared with, assigned to, or used on behalf of another individual.
2.2 Application and Activation
Access to the Community is by application and invitation only. StrategyXF sends members a link to activate their account on the StrategyXF Community platform. By activating your account, you agree to these Terms. StrategyXF reserves the right to accept or decline any application at its sole discretion.
2.3 StrategyXF Council
StrategyXF Council status is an additional designation available to members of any tier who volunteer their time to help develop the community. Council status is by invitation from StrategyXF and may be withdrawn at StrategyXF’s discretion. Council members participate in community governance activities as defined by StrategyXF from time to time.
2.4 Strategic Advisors
Strategic Advisor status is an invitation-only designation for subject-matter experts invited to advise on the development of the StrategyXF community and the StrateX Playbook based on their expertise in a specific capability (such as Strategic Portfolio Management, Business Architecture, Financial Planning & Analysis, Project Execution, or Change Management) or industry. Strategic Advisors contribute their expertise to shape the community’s direction and validate Plays and Principles within their area of specialism. Strategic Advisor status is combinable with any membership tier and may be withdrawn at StrategyXF’s sole discretion.
2.5 Account Security
You are responsible for maintaining the confidentiality of your account credentials. Notify StrategyXF immediately at info@strategyxf.com if you suspect unauthorized use of your account.
3. StrategyXF Services
The following table summarizes the services offered by StrategyXF, LLC. Services marked as “paid” are subject to separate pricing, order forms, or agreements. Base community membership remains free.

StrategyXF reserves the right to introduce, modify, discontinue, or reprice any service with reasonable prior notice to affected members. The availability of specific services may vary by membership tier or subscription.
4. Community Programs and Meetings
4.1 Think Tank Thursday
Think Tank Thursday is a weekly facilitated practitioner session held every Thursday (except where the fourth Thursday falls, in which case the Monthly Community Update takes place instead). Sessions focus on strategy execution topics and are designed as working discussions, not webinars. Sessions are recorded.
4.2 Monthly Community Update
The Monthly Community Update is an all-member meeting held on the fourth Thursday of each month. It is used to share community news, program updates, and member highlights. Sessions are recorded.
4.3 Recording and Publication
All Recurring Program sessions are recorded. Recordings and session notes are published to the StrategyXF Community platform (powered by Circle Communities) for member access. By participating in any Recurring Program or other recorded StrategyXF session, you grant StrategyXF the right and permission to:

Record your name, voice, likeness, and actions during the session;

Edit, adapt, and produce derivative works from recordings;
-
Publish, distribute, and archive recordings and session notes on the Community platform; and
-
Use excerpts from recordings in StrategyXF publications, marketing materials, newsletters, or podcast content (“Strategy eXecution Unlocked”), with reasonable attribution where appropriate.
If you prefer not to appear on camera, you may participate with your camera off. Participation by audio or text does not exempt you from the recording consent above. To request that a specific contribution be excluded from published recordings, contact info@strategyxf.com prior to the session.
4.4 Member Participation Expectations
StrategyXF’s Recurring Programs are designed as active working discussions. Members are expected to come prepared, engage substantively, and contribute to the collective output of each session. Detailed participation etiquette is set out in the StrategyXF Community Standards & Etiquette document, which is incorporated into these Terms by reference and available on the Community platform.
5. Community Standards and Code of Conduct
Cross-Reference — StrategyXF maintains a separate Community Standards & Etiquette document that sets out the behavioral norms, participation expectations, confidentiality conventions, and no-vendor rules governing day-to-day conduct in the Community. That document is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to comply with the Community Standards & Etiquette. The legal provisions governing prohibited conduct, IP, and enforcement are contained in these Terms; the etiquette document provides the companion guidance on how those principles translate into daily behavior.

At a minimum, members agree to:

Participate in good faith and with professional integrity;
-
Respect the confidentiality of other members’ contributions and organizational information;

Comply with the no-solicitation and no-vendor rules as set out in the Community Standards;
-
Not misrepresent their identity, affiliation, or expertise; and
-
Follow StrategyXF’s instructions regarding conduct in Recurring Programs and community spaces.
StrategyXF reserves the right to moderate, remove, or restrict content and to suspend or terminate member access for conduct that violates these Terms or the Community Standards, without prior notice where necessary.
6. Intellectual Property
Critical Section — Read Carefully — This section defines ownership of all content, frameworks, and outputs developed through StrategyXF. It is the most significant legal provision in this Agreement.
6.1 StrategyXF-Owned IP
All content and materials produced by or on behalf of StrategyXF — including but not limited to the 10 Key Principles framework, the StrateX Playbook, the 5 Critical Capabilities model, the StrategyXF Capability Assessment, the Strategy Execution Office (SEO) framework, Think Tank Thursday session outputs and summaries, Monthly Community Update materials, published articles, research, newsletters, podcast content (“Strategy eXecution Unlocked”), training programs, professional certification materials, and any other materials created under the StrategyXF brand — are the exclusive intellectual property of StrategyXF, LLC, protected by United States copyright, trademark, and applicable intellectual property laws (“StrategyXF IP”).
6.2 Collective and Community-Derived Outputs
Any frameworks, methodologies, research findings, structured insights, assessment tools, or derivative works that are developed, co-created, synthesized, or emerge from StrategyXF-facilitated activities — including Think Tank Thursday sessions, Monthly Community Updates, working groups, community discussions, advisory engagements, or any other StrategyXF program — are the exclusive property of StrategyXF, LLC, regardless of individual member contributions to their development (“Collective IP”). For the avoidance of doubt, Collective IP expressly includes: (a) the 10 Key Principles and any refinements to them, regardless of the collaborative process used to develop them — community input validates the Principles but does not create co-ownership; and (b) the StrateX Playbook as a curated whole, including its structure, the community-defined checklists for each Principle, and the editorial selection and arrangement of Plays — even though individual Plays within the Playbook are contributed by members and attributed to them under Section 6.10.
By participating in StrategyXF programs, you irrevocably assign to StrategyXF all rights, title, and interest in any Collective IP in which you may be deemed to have a contributing interest. StrategyXF may use, commercialize, license, and publish Collective IP without further compensation obligation to individual contributors. This assignment applies to collective outputs such as the 10 Key Principles and the Playbook’s curated structure and checklists. It does not override the specific attribution and promotion commitments that apply to individual named Plays accepted into the Playbook, which are governed by Section 6.10.
6.3 IP Injunctive Relief Carve-Out
Notwithstanding the arbitration provision in Section 15, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent unauthorized disclosure of confidential information, without waiving the right to arbitrate other claims.
6.4 Member Pre-Existing IP
You retain ownership of intellectual property you independently developed before or outside of your StrategyXF participation (“Pre-Existing IP”). Participation in StrategyXF does not transfer ownership of Pre-Existing IP to StrategyXF.
6.5 License Grant to StrategyXF
By participating in StrategyXF programs and posting User Content, you grant StrategyXF a non-exclusive, worldwide, irrevocable, royalty-free, perpetual, sublicensable license to use, reproduce, display, adapt, publish, prepare derivative works from, and distribute your contributions and User Content for any purpose related to StrategyXF’s mission and operations, in any media now known or hereafter invented.
6.6 No License Grant to Members
Important — Nothing in this Agreement grants or implies any license, right, or interest in StrategyXF’s intellectual property — including its frameworks, trademarks, research, or content — whether by patent, copyright, trademark, or otherwise. Any use of StrategyXF IP beyond the permitted internal professional use described in Section 6.7 requires prior written consent from StrategyXF.
6.7 Permitted Member Use
Members may apply concepts and frameworks encountered through StrategyXF in their own professional practice and internal organizational work. Members may not reproduce, publish, publicly present, commercialize, or otherwise distribute StrategyXF’s structured IP — including its frameworks, assessments, research outputs, or training materials — without prior written authorization from StrategyXF.
6.8 Trademarks and Brand
The StrategyXF name, logo, and associated marks are owned by StrategyXF, LLC. Members may not use these marks in any external communication, publication, or commercial context without prior written consent from StrategyXF.
6.9 Attribution for General Contributions
Where a member’s specific named contribution is featured in StrategyXF-published content (articles, reports, presentations, or similar materials) other than the StrateX Playbook, StrategyXF will make reasonable efforts to provide attribution. Attribution does not imply co-ownership of, or any license in, the resulting work. Attribution for Plays submitted to the StrateX Playbook is governed by Section 6.10.
6.10 The StrateX Playbook and Member Plays
A core output of the StrategyXF community is the StrateX Playbook (the “Playbook”) — a community-informed, practitioner-driven resource that rejects one-size-fits-all methodology in favor of real-world approaches. Rather than prescribing a single method, the Playbook collects and organizes Plays: specific practices, approaches, or techniques contributed by members that illustrate how the StrategyXF 10 Key Principles to Master Strategy Execution can be applied in practice. Each Principle may be served by multiple Plays contributed by different members, reflecting the diversity of how great strategy execution actually happens across organizations and contexts.
The Playbook as a whole — its structure, editorial framework, organization, synthesis, and the selection and arrangement of Plays — is the exclusive intellectual property of StrategyXF, LLC. StrategyXF owns the Playbook and all rights to publish, update, license, and commercialize it in any form.
By submitting a Play for inclusion in the Playbook, you grant StrategyXF a perpetual, irrevocable, worldwide, royalty-free license to include, publish, reproduce, adapt, and distribute your Play within the Playbook and in any derivative or promotional materials. You represent that your Play is based on your own genuine professional experience, does not violate any confidentiality obligation to your employer or any third party, and does not infringe any third-party intellectual property rights.
Attribution and Promotion of Play Contributors. StrategyXF is committed to recognizing the practitioners who contribute Plays to the Playbook. For every Play accepted for inclusion, StrategyXF will: (a) credit the contributing member by their full name and professional title as they wish to be identified; (b) include a brief contributor profile alongside their Play in the Playbook; and (c) promote the contributor’s Play and profile through StrategyXF’s community platform, newsletters, social channels, and any published or distributed version of the Playbook. These attribution and promotion commitments are not mere “reasonable efforts” — they are an integral part of the value exchange between StrategyXF and contributing members, and StrategyXF treats them as a binding commitment for every Play accepted into the Playbook.
Attribution and promotion of Play contributors does not imply co-ownership of the Playbook or any license in StrategyXF IP. A member may withdraw consent for future use of their Play by written notice to info@strategyxf.com; withdrawal will not affect Playbook editions already published or distributed prior to the date of withdrawal.
7. Confidentiality
7.1 Member Obligations
The StrategyXF Community operates on a foundation of professional trust and candor. As a member, you agree to:

Treat all non-public information shared by other members, StrategyXF, or Sponsor organizations as confidential;
-
Not disclose, share, or republish member contributions, organizational information, or session content outside the Community without express consent;
-
Observe the Chatham House Rule as the default for Community discussions: insights may be used and shared, but not attributed to identifiable individuals or organizations without their explicit consent;
-
Treat member contact information and the member directory as confidential — not for use in prospecting, outreach lists, or solicitation; and
-
Not use confidential information for competitive intelligence or commercial gain.
Recordings and session notes published on the Community platform are for member use only. Do not republish, share externally, or redistribute recordings or session summaries without StrategyXF’s written authorization.

7.2 What Counts as Confidential Information
Confidential Information includes, without limitation:
-
StrategyXF IP, frameworks, methodologies, and proprietary research;
-
Business strategies, organizational challenges, plans, and priorities shared by members;
-
Financial information, pricing, cost data, and margins shared in any session or discussion;
-
Member names, contact details, and profile information not publicly available;
-
Think Tank Thursday and Monthly Community Update session content, discussions, and working materials;
-
Plays submitted for the StrateX Playbook prior to their formal publication; and
-
Any information designated as confidential by a member or by StrategyXF.
These confidentiality obligations are a material condition of your membership and survive termination of your access.
7.3 Anti-Competitive Conduct
Members may not use Community discussions — including Think Tank Thursday sessions or any other StrategyXF-facilitated forum — to discuss, coordinate, or share competitively sensitive information such as pricing, margins, market share, customer lists, or supplier terms in ways that could violate applicable antitrust or competition laws. StrategyXF reserves the right to remove content and restrict access where it determines a risk of antitrust exposure.
7.4 Sponsor Member Information
StrategyXF will use reasonable care in handling information shared by or about Sponsor organizations. Sponsor Members should exercise their own judgment about what organizational information is appropriate to share in the community environment.
8. Sponsoring Member Obligations
Sponsoring Members are practitioners from partner organizations (including management consultancies and strategy software or service providers). Their participation is valued and welcomed. By accepting Sponsoring Member access, the sponsoring organization and its participating employees agree that:

Sponsoring Members will participate as practitioners, not as marketers or vendor representatives;
-
Promotional activity by Sponsoring Members is limited to activities expressly authorized in writing by StrategyXF;
-
Solicitation of other members — via community discussions, direct messages, or contact details obtained through StrategyXF — for commercial purposes is prohibited;
-
The organization is responsible for ensuring its employee members comply with these Terms and the Community Standards;
-
Sponsorship does not grant any ownership interest in StrategyXF IP or Collective IP; and
-
The terms of any separate Sponsorship Agreement govern the commercial relationship and supplement these Terms. In the event of a conflict, the Sponsorship Agreement controls with respect to commercial matters.
9. No Solicitation
StrategyXF is a practitioner-led community, not a marketplace. Members may not use community access to solicit commercial business from other members.
You agree not to use the StrategyXF Community — including direct messaging, discussion threads, or contact information obtained through the community — to solicit other members for commercial products, services, consulting engagements, employment opportunities, or investment, without the prior written consent of StrategyXF.

This prohibition applies: (a) during the entire period of your membership; and (b) for 12 months following termination of your membership, with respect to any member whose contact details you obtained through StrategyXF.

This Section does not prohibit organic professional networking, knowledge-sharing, or relationship-building that occurs naturally in the course of community participation.

Sponsoring Members and Corporate Members may, subject to a separate written agreement with StrategyXF, engage in defined promotional activities expressly authorized by StrategyXF in writing.

PLEASE READ THESE TERMS CAREFULLY. By registering for, activating, or accessing the StrategyXF Community, you agree to be bound by these Terms & Conditions of Service (“Terms” or “Agreement”). If you do not agree, do not activate or use your account.
ARBITRATION NOTICE: Except as set out in Section 15, disputes arising under these Terms will be resolved through binding individual arbitration. You waive the right to a jury trial and the right to participate in class or representative proceedings.
10. Corporate Membership and Advisory Services
Corporate Membership is available to employees of organizations that have subscribed to StrategyXF’s advisory services under a separate Corporate Subscription Agreement. Corporate Members receive full Community access plus access to advisory services as defined in the applicable agreement.
The terms, scope, and fees for Corporate Membership and advisory services are set out in the relevant Corporate Subscription Agreement, which supplements these Terms. In the event of a conflict, the Corporate Subscription Agreement controls with respect to the advisory services relationship.
11. Fees, Payments, and Paid Services
Base community membership is free. The following services are or will be subject to fees:

Sponsorships (per Sponsorship Agreement);

Paid virtual and in-person events (per event pricing);
-
Corporate advisory subscriptions (per Corporate Subscription Agreement);
-
Strategy Execution training programs and professional certification (per program pricing); and
-
Any other paid service introduced by StrategyXF with reasonable prior notice.
Fees for paid services will be set out in a separate agreement, order form, or pricing schedule. StrategyXF reserves the right to introduce, modify, or discontinue paid services with reasonable notice. Fees paid are non-refundable unless otherwise stated in the applicable agreement.
12. Member-to-Member Conduct and Disputes
StrategyXF is not a party to disputes between members, including between practitioner members and Sponsoring Members. By using the Community, you release StrategyXF and its affiliates from any claims, demands, or damages arising from disputes between you and other members.
StrategyXF reserves the right — but not the obligation — to intervene in member disputes where necessary to protect the integrity, safety, or reputation of the Community.
13. Termination and Suspension
13.1 By StrategyXF
StrategyXF may suspend or terminate your membership at any time, with or without cause, including for breach of these Terms or the Community Standards, conduct detrimental to the Community, or as required by applicable law. StrategyXF will use reasonable efforts to provide notice where practicable but may act without notice where immediate action is necessary.
13.2 By You
You may terminate your membership at any time by contacting info@strategyxf.com or using the account management tools available in the Community.
13.3 Effect of Termination
Upon termination: (a) your access rights cease immediately; (b) you must cease all use of Community content; (c) you are responsible for retaining copies of your own User Content, as StrategyXF cannot guarantee continued access after termination; and (d) confidentiality obligations, IP assignments and licenses, any payment obligations accrued prior to termination, and all provisions that by their nature should survive, remain in full force.
If your membership is terminated for breach of these Terms, you are prohibited from re-registering under a different name or account without StrategyXF’s written consent.
14. Disclaimers and Limitation of Liability
14.1 Disclaimers
THE COMMUNITY AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. STRATEGYXF DOES NOT WARRANT THAT THE COMMUNITY WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.
Content in the Community — whether posted by StrategyXF or by individual members — is provided for professional development and informational purposes only. It does not constitute legal, financial, consulting, strategic, or other professional advice. Members should exercise independent professional judgment when applying community insights to their specific organizational contexts. StrategyXF does not monitor all community content but reserves the right to remove content that violates these Terms or applicable law.
14.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STRATEGYXF, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR MEMBERSHIP OR USE OF THE COMMUNITY OR STRATEGYXF SERVICES.
STRATEGYXF’S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU HAVE PAID TO STRATEGYXF IN THE 12 MONTHS PRIOR TO THE CLAIM; OR (B) US$100.
You and StrategyXF acknowledge that CircleCo, Inc. (Service Provider) is not a party to these Terms. To the fullest extent permitted by law, CircleCo, Inc. shall have no liability to you arising from or in connection with these Terms or your use of the Community platform.
14.3 Indemnification
You agree to defend, indemnify, and hold harmless StrategyXF, LLC and its members, managers, officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Community or Services; (b) your violation of these Terms or the Community Standards; (c) your violation of any third-party rights; or (d) any User Content you submit.
15. Dispute Resolution and Arbitration
15.1 General
Except as provided in Section 6.3 (IP Injunctive Relief) and Section 15.2 below, all disputes between you and StrategyXF arising from these Terms or your use of the Community or Services will be resolved through binding, individual arbitration administered by JAMS under its Consumer Arbitration Rules, as modified by these Terms.
BY AGREEING TO THESE TERMS, YOU AND STRATEGYXF EACH WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
15.2 Exceptions
Either party may: (a) bring an individual claim in small claims court; (b) seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information (Section 6.3); or (c) pursue enforcement actions through applicable government agencies.
15.3 Opt-Out
If you do not wish to resolve disputes by binding arbitration, you may opt out within 30 days of first activating your account by sending written notice to: StrategyXF, LLC — Attention: Legal, Arbitration Opt-Out, info@strategyxf.com. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out. Opting out does not affect other provisions of these Terms.
15.4 Process
Before initiating arbitration, the initiating party must provide written notice of the dispute to the other party and allow 30 days for good-faith resolution. Arbitration hearings will be conducted remotely or, if in-person, in Cheyenne, Wyoming, unless the parties agree otherwise.
15.5 No Class Actions
Claims may only be brought on an individual basis. Neither party may consolidate claims with those of other members or participate in a class or representative proceeding.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict of law principles. StrategyXF, LLC is a Wyoming limited liability company. Subject to the arbitration provision above, you consent to the non-exclusive jurisdiction of state and federal courts located in Wyoming for any claims not subject to arbitration.
17. Circle Platform — Third-Party Beneficiary
The Community is powered by technology provided by CircleCo, Inc. (“Service Provider”). CircleCo, Inc. is an intended third-party beneficiary of these Terms, is entitled to rights and benefits under these Terms, and may enforce these Terms against you as if it were an original party. Your use of the Community is also subject to Circle’s platform terms (circle.so/terms). These Terms govern your relationship with StrategyXF; Circle’s terms govern your relationship with CircleCo, Inc. as platform provider.
18. Modifications to These Terms
StrategyXF may modify these Terms from time to time. Material changes will be communicated with at least 30 days’ notice by email or prominent notice in the Community. If you do not accept a material change, you may terminate your membership before the change takes effect. Continued use after the effective date constitutes acceptance of the revised Terms.
If StrategyXF makes a substantive change to the arbitration provision, you may reject that specific change within 30 days by written notice to info@strategyxf.com, in which case the prior arbitration provision will continue to apply to your account.
19. General Provisions
These Terms, together with the following documents, constitute the entire agreement between you and StrategyXF regarding the Community and Services. Any prior oral or written representations regarding the Community are superseded by this suite of agreements:

Terms of Use (strategyxf.com/terms) — governs use of the StrategyXF website and general access to the Services;

Privacy Policy (strategyxf.com/privacy) — governs the collection, use, and protection of your personal information, including the Cookie Policy;

Community Standards & Etiquette (available on the Community platform) — governs day-to-day conduct, participation norms, and the no-vendor and Chatham House rules; and

Applicable commercial agreements — any Sponsorship Agreement, Corporate Subscription Agreement, or order form governing a paid service relationship.

In the event of a conflict between these documents, these Terms & Conditions of Service govern with respect to membership rights and obligations, except where a Sponsorship Agreement or Corporate Subscription Agreement expressly governs a specific commercial matter.

Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain in full force.

No Waiver: StrategyXF’s failure to enforce any provision is not a waiver of that provision.

Non-Assignment: You may not assign or transfer your membership or rights under these Terms without StrategyXF’s prior written consent.

Electronic Agreement: These Terms may be accepted electronically (including by account activation) and such acceptance is legally binding.

Aggregated Data: StrategyXF may use aggregated, anonymized community data for research, publications, product development, and the StrateX Playbook. No member is identified individually in such use without their consent.

Relationship of Parties: Nothing in these Terms creates a joint venture, partnership, employment, agency, or fiduciary relationship between StrategyXF and any Member. Members are independent practitioners.

Notice: Formal notices under these Terms may be delivered by email to info@strategyxf.com (for notices to StrategyXF) or to the email address associated with your membership account (for notices to you). Notices are effective on the date sent, provided no delivery failure is received.
