TERMS OF  USE

StrategyXF Terms of Use

Please read these Terms of Use carefully before using the StrategyXF website at www.strategyxf.com and the StrategyXF Community collaboration platform at strategyxf.circle.so (together, the “Site,” “Platform,” or “Services”). By accessing or using either environment, you agree to be bound by these Terms. If you do not accept these Terms, please do not use our Services.

 

These Terms cover both: (1) the StrategyXF public website, built on Wix (www.strategyxf.com); and (2) the StrategyXF Community, a collaboration platform powered by Circle (https://strategyxf.circle.so). Certain features or sections of the platform may be subject to additional terms, such as a Membership Agreement, which will be presented to you where applicable.

1. About StrategyXF

StrategyXF is a professional community and think tank focused on enterprise strategy, transformation, and executive alignment. Our community brings together senior practitioners to share insights, co-develop frameworks, and advance the discipline of strategic execution. The Services include our public website, private member collaboration environment, Think Tank programs, digital content, events, and related resources.

2. Eligibility

You must be at least 18 years of age to use the Services. By accepting these Terms, you represent and warrant that:

  • You are at least 18 years old;

  • You have the authority to enter into this agreement on behalf of yourself, or if registering on behalf of an organization, on behalf of that organization;

  • Your use of the Services complies with all applicable laws and regulations; and

  • You have not previously been suspended or removed from any StrategyXF platform.

3. Accounts & Registration

To access the StrategyXF Community and certain features of the website, you may be required to register for an account. You agree that all information you provide during registration is accurate, complete, and current. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

 

Please notify us immediately of any unauthorized use of your account at info@strategyxf.com. StrategyXF reserves the right to suspend or terminate accounts that violate these Terms.

4. Intellectual Property and Content Ownership

4.1 StrategyXF Content
All content on the Site and Platform created by or on behalf of StrategyXF — including but not limited to frameworks, methodologies, reports, articles, event materials, the 10 Key Principles, research outputs, graphics, and brand assets — is the exclusive intellectual property of StrategyXF (“StrategyXF Content”). You may not reproduce, distribute, publicly display, modify, or create derivative works from StrategyXF Content without prior written permission.
 
You are authorized to access and use StrategyXF Content solely for your own internal, non-commercial professional purposes, subject to any additional terms applicable to specific content or programs.
 
4.2 Collective and Community-Derived IP
StrategyXF is built on collective practitioner knowledge. Any frameworks, synthesized insights, methodologies, or outputs that are developed through or derived from Think Tank sessions, community discussions, collaborative working groups, or StrategyXF-facilitated programs — whether or not they incorporate individual member contributions — are and shall remain the exclusive intellectual property of StrategyXF (“Collective IP”).
 
You acknowledge that participation in StrategyXF programs and community discussions may result in the generation of Collective IP, and you agree that StrategyXF has the right to use, license, publish, and commercialize such Collective IP without further compensation or attribution obligation to individual contributors, unless otherwise agreed in writing.
 
4.3 Your Individual Contributions
You retain ownership of any pre-existing intellectual property you bring to the community (“Pre-Existing IP”). By posting, submitting, or sharing any content on the Platform, you grant StrategyXF a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual, irrevocable license to use, reproduce, adapt, publish, and distribute your contributions in connection with the operation and promotion of the Services.
 
If your individual contribution is specifically featured in StrategyXF published content (e.g., a report or case study), StrategyXF will use reasonable efforts to provide appropriate attribution, subject to your consent.

5. Confidentiality 

The StrategyXF Community is a practitioner environment where members share sensitive professional insights. By participating, you agree to treat all non-public information shared by other members as confidential. You may not:

  • Share, republish, or disclose other members’ contributions, company-specific information, or discussions outside the platform without their express consent;

  • Use information shared in the community for competitive intelligence or commercial purposes; or

  • Attribute specific statements or content to named individuals without their permission.

 

These confidentiality obligations survive termination of your membership.

6.Acceptable Use

By using the Services, you agree not to:

  • Post content that is defamatory, harassing, obscene, discriminatory, or otherwise unlawful;

  • Infringe any third-party intellectual property, privacy, or other rights;

  • Scrape, harvest, or systematically extract data from the Platform;

  • Attempt to gain unauthorized access to any portion of the Services or another user’s account;

  • Upload or transmit malicious code, viruses, or other harmful content;

  • Impersonate any person or entity, or misrepresent your affiliation;

  • Use the Services to promote competing products or services without prior written consent; or

  • Engage in any conduct that disrupts or degrades the experience of other community members.

 

StrategyXF reserves the right to remove content and terminate access for violations of these standards, without prior notice.

7. StratgeyXF Community (Powered by Circle)

The StrategyXF Community collaboration environment is powered by Circle (CircleCo, Inc.). Use of the Community is also subject to Circle’s platform terms, available at circle.so/terms. In the event of a conflict between these Terms of Use and Circle’s platform terms with respect to your relationship with StrategyXF, these Terms govern.

 

CircleCo, Inc. is a third-party service provider and intended third-party beneficiary of your agreement with StrategyXF regarding use of the Community platform, as described in the StrategyXF Terms & Conditions of Service.

8. The StrategyXF Website (Wix Platform)

The StrategyXF public website (www.strategyxf.com) is hosted on the Wix platform. Your use of the website is also subject to Wix’s terms of service and privacy policy, available at wix.com/about/terms-of-use. StrategyXF is not responsible for the practices or policies of Wix as a third-party platform provider.

9. Third-Party Links and Services

The Services may contain links to third-party websites and resources. These links are provided for convenience only. StrategyXF does not endorse and is not responsible for the content, accuracy, or practices of third-party sites. Access to third-party sites is entirely at your own risk.

10. Privacy

Your use of the Services is also governed by the StrategyXF Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your personal information.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. STRATEGYXF DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Content made available through the Services is for informational purposes only and does not constitute professional advice. StrategyXF makes no representations regarding the completeness or accuracy of community-contributed content.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRATEGYXF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

StrategyXF’s total aggregate liability to you for any claim arising from use of the Services shall not exceed the greater of (a) the amounts paid by you to StrategyXF in the 12 months prior to the claim, or (b) US$100.

13. Indemnification

You agree to defend, indemnify, and hold harmless StrategyXF and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Services.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to conflict of law principles.

 

Any dispute arising from these Terms or your use of the Services shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes may be resolved through binding arbitration administered by JAMS under its applicable rules. Class actions and jury trials are waived to the fullest extent permitted by law. Please refer to the StrategyXF Terms & Conditions of Service for the full arbitration and dispute resolution procedures applicable to Community members.

15. Termination

StrategyXF reserves the right to suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your license to use the Services ends immediately. Provisions that by their nature should survive termination — including intellectual property ownership, confidentiality, disclaimers, limitation of liability, and indemnification — shall survive.

16. Modifications

StrategyXF may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Site. Your continued use of the Services following the effective date of any change constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
